(a) That's wrong. Public companies are created by registration under the provisions of the Corporations Act 2001 (Cth). In fact, under the Corporations Act, a company is automatically a public company if it is not incorporated as a proprietary company.

If a company is originally incorporated as a proprietary company, it can be converted at any time into a public company. Similarly, a public company can be converted into a proprietary company.
